Punisher's plot armor is ridiculous. A guy with guns isn't going to be able to take down a guy who's made entirely out of sand or someone who can turn his entire body to lead after being shot. Not to mention Sandman would probably try to spend the last hours of his life with Keemia which has been one of his primary motivations since BND.
